1. Acceptance of Terms
The Service refers to the bookkeeping software and related products listed at https://simple-c.net, hereafter referred to as "The Service." These terms apply to Simple-C and any of its websites and applications on any platform.
By accessing and using the Services, you agree to be bound by the terms and provisions of this agreement. If you do not agree to comply with these terms, please do not use the Service.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into this agreement. By using Simple-C, you declare that all information you provide is complete, authentic, truthful, and up to date.
If you are a parent or legal guardian and allow a minor to use the Services, these terms also apply to you and you are responsible for that minor's activity on the Services.
3. Free Trial
Simple-C offers a 14-day free trial with full access to the platform. No credit card is required to start a trial. At the end of the trial period, your account will be paused and your data preserved. You may choose a paid plan at any time to continue using the Service. No charges are applied automatically at the end of the trial.
4. Subscriptions and Payments
Annual Renewal: Subscriptions are billed annually. All your information will remain available when the subscription is renewed.
Switch Plans: You may upgrade your plan at any time by contacting us at info@simple-c.net. When upgrading, the change will be effective once we process your request. You will be offered a prorated price based on the remaining time on your current plan. Downgrades are effective at the end of the current billing cycle.
Cancellation: You may cancel your subscription at any time by emailing info@simple-c.net. Cancellations are effective once we process your request. Upon cancellation, you will retain access until the end of your current billing period.
Refunds: Simple-C provides immediate access to the platform upon purchase. Due to the nature of digital services and the infrastructure costs incurred immediately upon account provisioning, we are unable to offer refunds.
Delayed Transactions: In the event your payment method is declined, Simple-C may attempt to process the transaction again under the same conditions within a few days. If the payment is successfully processed, you will receive an email confirming the transaction.
5. Your Data Upon Cancellation
If you cancel your subscription, your data will remain stored in our systems for up to 12 months after cancellation. During this period, you may reactivate your account and regain access to your data by subscribing to a paid plan. After 12 months of inactivity, your data may be permanently deleted.
6. Intellectual Property
All content on our website, including text, images, graphics, logos, and software, is the property of Simple-C or its licensors and is protected by copyright and other intellectual property laws. You may not modify, reproduce, distribute, or transmit any part of the website without our prior written permission.
However, any reports, documents, or data you generate using the Simple-C software are yours. You may use them freely for any commercial or non-commercial purpose.
Copyright in Simple-C websites, apps, and its properties rests with Simple-C unless otherwise stated.
7. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, or NON-INFRINGEMENT.
The information provided through Simple-C should not be considered legal, financial, or other professional advice and is not intended to replace consultation with a qualified professional. We do not answer specific legal or financial questions.
Every effort is made to provide accurate information. However, Simple-C websites and apps may contain technical inaccuracies or typographical errors, and information may change without notice.
8. Limitation of Liability
To the full extent permitted by applicable law, Simple-C shall not be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses arising out of or in connection with (a) your use of or inability to use the Service, (b) any transactions or interactions conducted through the Service, or (c) any other matter relating to the Service.
Our total liability to you in any circumstance is limited to the amount of fees you paid to Simple-C in the 12 months prior to the event giving rise to the claim.
The user assumes all responsibility and risk for the use of Simple-C and the Internet generally. Under no circumstances shall anyone involved in creating or maintaining Simple-C be liable for any damages that result from the use or inability to use the Service, including but not limited to damages resulting from mistakes, omissions, interruptions, deletion of files, viruses, errors, defects, or failure of performance. In states or countries that do not allow some or all of the above limitations, liability shall be limited to the greatest extent allowed by law.
9. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use Simple-C in any way that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service. You may not attempt to gain unauthorized access to the Service or any systems connected to it through hacking, password mining, or any other means.
10. Account Security
You agree to maintain the confidentiality of all security features relating to your account (including login credentials, email links, and access arrangements). Simple-C will not be liable for any unauthorized access resulting from your failure to protect your account credentials.
11. Service Availability
Simple-C does not guarantee constant availability of the Service and accepts no liability for downtime or access failure due to circumstances beyond its reasonable control, including any failure by internet service providers or system providers.
12. Third-Party Links
Simple-C may contain links to third-party websites that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites. We strongly advise you to review the terms of service and privacy policy of any third-party site you visit.
13. Data Security
No data transmission over the Internet can be guaranteed as totally secure. While we strive to protect your information, we cannot warrant or ensure the security of information you transmit to us. Any information you transmit is sent at your own risk.
14. Feedback
When providing feedback (e.g., identifying errors or suggesting improvements) through any medium, you acknowledge and agree that such feedback becomes the property of Simple-C, including all intellectual property rights therein.
15. Indemnification
You agree to indemnify Simple-C, its employees, and agents for any loss or liability arising from any unauthorized or improper use of the Service, or any breach of these terms by you, your employees, contractors, or representatives.
16. Modifications to Terms
We may modify these terms from time to time. When we do, we will provide notice by publishing the updated version and revising the date at the top of this page. If we make any material changes, we will provide additional notice via email or a prominent notice on our platform. Your continued use of the Service after changes take effect constitutes your acceptance of the revised terms. If you do not wish to accept the revised terms, you may close your account.
17. Jurisdiction and Applicable Law
These Terms of Service are governed by the laws of the State of Arizona, United States. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona, for the resolution of any disputes arising from these terms or your use of the Service.
18. Dispute Resolution
Before initiating any formal legal proceedings, you agree to first contact us at info@simple-c.net and attempt to resolve the dispute informally for at least 30 days. If the dispute cannot be resolved informally, either party may pursue legal remedies as provided under applicable law.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
Privacy Policy
What is the purpose of processing your personal data? We process the information provided by users for the following purposes: to manage your account and provide the service contracted by Simple-C clients; to allow access to the private section of Simple-C when logging in; in order to manage the sending of requested information; to provide users with offers of products and services directly related to Simple-C; and to improve the user experience. Emails will be sent with the login details of the client after a purchase on Simple-C (so the clients can login to the service). Emails will be sent also about Simple-C updates and tutorials teaching how to use Simple-C.
Likewise, we inform you that the processing of data does not involve marketing automated decisions, nor the creation of profiles for predictive purposes of personal preferences, behaviors or attitudes.
Data retention: for the duration of our business relationship and the time legally established.
Your data will not be transferred to other national and/or international controllers, except in cases where there is a legal obligation to do so. Your data will be kept for as long as our contractual relationship is in force. Once the maximum legally established retention periods have elapsed, your data will be deleted.
Data subject rights: access, rectify and erase data regarding the person, object to the processing of data, request limitation of processing, or data portability. We would like to inform you that you can exercise your rights of access, rectification, opposition, erasure, restriction, and portability, as well as your decision not to be subject to individual automated decisions, by contacting the Data Controller via email at info@simple-c.net

Prohibited Activities
You may not use Simple-C to:
- Enter false, misleading, or fraudulent financial data with the intent to deceive third parties, tax authorities, or auditors.
- Facilitate or conceal any form of money laundering, tax evasion, or financial fraud.
- Attempt to reverse-engineer, decompile, or extract the source code of the software.
- Share your account credentials with unauthorized users or allow others to access your account.
- Use automated scripts, bots, or other tools to access or interact with the Service in a manner not intended by Simple-C.
- Upload or transmit any malicious code, viruses, or harmful files through the Service.
Account Suspension and Termination
Simple-C reserves the right to suspend or terminate any account that violates these guidelines. If we determine that a violation has occurred, we will notify you via email with a description of the violation. For minor violations, you will be given an opportunity to correct the behavior. For severe violations (such as fraud or illegal activity), your account may be terminated immediately.
If your account is terminated due to a violation of these guidelines, you will not be entitled to a refund for any remaining subscription period. You may contact us at info@simple-c.net to appeal a suspension or termination decision within 30 days of the action.
